BOARD COMMITTEES

Priceline.com’s Board of Directors has an Audit Committee, a Compensation Committee and a Nominating Committee. The Audit Committee of the Board consists of Howard W. Barker, Jr., Jeffrey E. Epstein and Patricia L. Francy. The Audit Committee reviews priceline.com’s financial statements and accounting practices, makes recommendations to the Board regarding the selection of independent auditors and reviews the results and scope of the audit and other services provided by priceline.com’s independent auditors. Mr. Barker is Chairman of the Audit Committee. The Compensation Committee of the Board consists of Messrs. Ralph M. Bahna, Jeffrey E. Epstein and Marshall Loeb. The Compensation Committee makes recommendations to the Board concerning salaries and incentive compensation for priceline.com’s Officers and employees and administers priceline.com’s employee benefits plans. Mr. Epstein is Chairman of the Compensation Committee. Priceline.com's Nominating Committee consists of James M. Guyette, Howard W. Barker, Jr. and Patricia L. Francy. The Nominating Committee recommends individuals to the Board of Directors for nomination, election or appointment as members of the Board of Directors and its committees. Mr. Guyette is Chairman of the Nominating Committee.
