Corporate Governance
The Board of Directors of
KeyCorp has adopted strengthened corporate governance guidelines, enhanced Board
committee charters and revised the company's Code of Ethics. A number of the
enhancements to these guidelines were adopted in anticipation of the adoption
of final revisions to the New York Stock Exchange (NYSE) listing standards.

Dividend Reinvestment and Cash Payment Plan
This plan enables shareholders to reinvest all or part of their common stock dividends, as well as make optional cash payments within certain restrictions in shares of KeyCorp common stock without paying brokerage commissions or service charges.
Dividend Direct Deposit Plan
With this plan, shareholders can have their common stock dividends electronically deposited to their checking or savings account. This free service provides shareholders with a convenient and safe method of receiving dividend payments.
Eliminate Duplicate Mailings
If you have more than one account listing, you may be receiving duplicate mailings of shareholder reports. You may eliminate such duplication by either consolidating your accounts or requesting that reports be received for only specified accounts.
